Calling Geron Retail Investors to Make Your Voices Heard!

We’ve waited 6 long years for Geron to finally gain FDA approval for Rytelo after the crushing setback of the Janssen fallout in 2018. That should have marked a turning point—a moment of validation and renewed momentum. But instead, since June 2024 approval of Rytelo, GERN’s stock has collapsed from $5.34 to $1.76 by Feb 2025 unprecedented good Q4 earnings call. The price today languishing precariously at reverse split level resembles a pre-clinical, pre-approval valuation. That is unjustifiably misaligned with Geron’s progress. How can we settle for the status quo? It’s deplorable and outrageous!
This isn't just volatility. It's blatant, systemic manipulation. And it has been allowed to go unchecked for far too long.
Management and the Board have been silent. Chip Scarlett and the current board did little to nothing to stem this long-running tide of big money games—dark pool volume, relentless shorting, bot-led disinformation, and possibly even share lending from institutions enabling naked shorting.
I’ve taken the step of sending a letter direct to the interim CEO and Board Chair via snail mail, bypassing IR altogether, which has proven superficial at best and dismissive at worst. But now, I plan to go further:
I will vote AGAINST all resolutions at the upcoming AGM in May.
Why? To signal my frigging displeasure at the board’s failure in its fiduciary duties to protect shareholder value and absence of leadership and courage to stem the decimation of Gern’s intrinsic value to level up the playing field rigged by big money hedgies and funds at retail investors expense.
This AGM is our chance to send a message. We may be retail, but collectively, we are not powerless. If you share my frustration, if you’ve lost faith in the silence of the management, and if you believe in holding leadership accountable.
Vote NO. Make your voice heard. Demand transparency. Demand action. Demand alignment with shareholder interests.

My trading platform in the UK is finally allowing me to cast a vote. While I have been burnt by protest voting before I can completely get behind your sentiment. Hopefully the share prices does something to recover in the next month.

Isn’t it possible to vote our displeasure as a “block” now, and then, just before the AGM, if our questions are addressed adequately, change our votes ( just asking’ ) ?

Signet01, great idea. I will defer to HI for a definitive answer but I believe the answer is yes. For me I am going to wait until after the presentation on May 7th. I will share how I vote, but it should be pretty obvious by then. bp

StanleyRock - while I applaud your efforts of being an active investor and forwarding a letter to management on shareholders behalf, the issue here of blatant manipulation of the SP is beyond managements control. It's an SEC issue, and as long as they turn a blind eye, it's very difficult for management to do much here. Unfortunately for investors, this is a battleground stock. I've never seen anything like it. Some entity has it out for this company. I remember a theory which actually made A LOT of sense. Way before my time, Scarlett had done a deal (with Morgan Stanley - I believe) - all off the top of my head - and this information/theory came by the way of Martin on the YMB - a prolific poster over there around the JNJ partnership timeframe. Anyway he theorized that Scarlett screwed over MS over a deal with Merck. Since then it's been an all out assault on the stock as far as the short manipulation goes. Hopefully Martin is still around and can explain this scenario with the clarification it deserves, but it was rather eye opening, and actually made a lot of sense. These big institutions who are now fully entrenched in this company play both sides of the coin. BEST thing any INVESTOR can do here, is take advantage of these bargain basement prices, accumulate and perhaps set 10-20% aside as a swing trade to take advantage of the daily volitility here. It's the only way to make $$ with this right now. -Kmall

Note they answer questions “as time allows”. I have timed this time allotment in previous meetings. The record for brevity is less than 20 minutes. Hardly adequate! Geron board take note. Also the proxy is asking for another 26M shares to be approved. Chutzpah? We shall see. There is some ‘splaining to do. Everyone, please submit your questions so we can hold the board responsible to their shareholders and stop the duck and cover.

Voted against everything but Bir and O'Farrell taking their positions...... management needs to shed some serious dead weight - Koval and Behrs for starters.....I could probably get rid of half or more of the VP's sucking off this pig. Enact a hiring freeze IMMEDIATELY......start tightening the financial belt.....show some financial discipline for once as your SP swirls around the toilet bowl. Any bonuses or options granted should be tied to the SP and company goals actually being FULFILLED. Period......just my 2 cents. -Kmall

I too would like to vote no on all proposals as a protest to share price and lack of transparency. I have not gotten proxy. Is there a way of getting my vote in now?

Since I don't have the proper materials yet from Geron to vote my proxy, I emailed this to Investor Relations to give them my sentiment. Hopefully it will convey what sought to do with actual voting. How about others doing the same?

Not near in that league of stock ownership, but I voted "no" on Proposals 2-5. Rewarding non-performance is not an option.

Just wanted to chime in and share a perspective for those hesitant to vote NO to all resolutions in this coming May AGM.
I understand the concern - Geron is in a transition phase post-Chip, and nobody wants to create more instability. But let's be clear:
We retail investors only hold ~14% of the shares.
Institutional holders with 86% will ultimately decide the outcome.
Voting NO won’t destabilize the company. It won’t prevent resolutions from passing. But it will send a signal — that we’re not happy with the silence, the inaction, or the continued price erosion post-approval.
This isn’t about chaos. It’s about accountability.
We’ve waited years for this moment — FDA approval, revenue-generating, and finally a commercial product. And yet, the stock is hovering near reverse split territory while leadership remains quiet.
So even if it’s symbolic, I believe it’s worth the while. Kmall Bro, I hear you and in fact heed your advice to mention Lisa Meletta in my recent appeal letter. To me, however tough or futile our relentless effort may be, we have to forge ahead – inertia is never an option.
We’re not trying to sink the ship — we’re trying to wake up the captain.
Just my 2 cents — and respect to everyone regardless of how you vote. We all want Geron to succeed.
It’s just that in moment like this, we small retail investors need to be in unison and in 1 voice in order to be heard and respected.

Dear Fellow Retail Investors,
Today, May 7, Geron holds its Q1 2025 earnings call at 8:00 AM GMT. As small retail investors, this may be our last chance to hear any acknowledgment of the blatant stock manipulation we’ve been witnessing since FDA approval last June.
Despite now being a revenue-generating biotech company, Geron’s stock has plummeted from $5.34 to $1.32 — a surreal collapse that demands answers. I sent a letter by mail to the Interim CEO and Chair of the Board appealing for action. To this day, no response has been received. Total silence.
If this issue is again ignored in today’s call, I strongly urge all shareholders to vote NO on all resolutions at the upcoming Annual General Meeting on May 21.
This is our only way to send a loud, unified message that:
We do not accept this ongoing stock price destruction,
We demand accountability from management,
And we will not tolerate a Board that remains indifferent to shareholder concerns.
Enough is enough. Let our votes be our voice.

Excellent conference call. Bonus’s, incentive awards should be based on performance as reflected in the stock price which is near historic lows. I am ready to endorse those bonus’s and incentives when we as stockholders see a rise in stock prick that justify same. New management team off to a good start. Up coming meeting (ASCO, EHA) should be interesting. Still no update on oral agent (I think that may have been a false promise). Line extension position clearly directed to anticipated IMpact/IMprove success. AML/TELOMERE still in the wings. I am very supportive of management and feel the conference call was strong and there is renewed direction and enthusiasm. They do have a good drug to work with. Having said that I am voting no until the stock price votes yes.

I am still confused on what to make of the conference call and hence which way to vote.
I suppose I am rather naive to have expected a decent explanation of recent events, but the way they mentioned the supply chain problems and lackluster sales just left me asking which one was it. Clarity on the issue and then knowing they were working towards fixing it would go a long way to restoring confidence.
Was there a lack of drug availability so the sales teams were unable to make sales?
Or was sales more of an uphill struggle than expected, even with seasonal variation?
It is obvious something went seriously wrong (looking at the share price tell us that).
Dawn C. Bir has been with geron since 2019, so this is hardly new leadership.

Further to Zhears comment,"Dawn C. Bir has been with Geron since 2019, so this is hardly new leadership", a CEO is the one that gets the ax for a corporation's lack of performance. In our case the entire BOD was on board with JS, and the entire plan and execution, or lack thereof until they weren't. Maybe the entire Geron BOD house needs ouster.

Zhears, lacour, Excellent question. We raised supply line issues several months ago. This was barely addressed in last call if ever. Suggest you submit it for consideration at our wonderful truncated Q and A at shareholders meeting. If you want I can do it but as you know I have submitted several questions already and expect about 10 to 25% to actually be addressed (the easy ones). A broader onslaught from retail investors might have more impact. We need all the help we can get. To confirm I did vote no on anything that added dilution but yes to Bir et al.
