Institutional ownership influence regarding shareholder acceptance of a Geron buyout offer
Some SA comments seem to indicate the institutional ownership will control the BO deemed acceptable and it could be a low BO. Institutional ownership is less than 40% of Geron shares (159MM) at approximately 60+ MM shares. There are less than 125 institutional owners and of 60+MM shares represented by those institutions. The top 5 institutions make up approximately 45 million shares or 75% of the institutionally held/owned shares. Per the below link, Fidelity, Vanguard, Blackrock (2) and State Street are the 5.

Certainly not all but could one assume a large percentage of those shares are owned and controlled via individual retail accounts but held by those institutions and including many of the 20,000 plus SA members following Geron articles and discussions as well as thousands following ImetelChat? Maybe I’m wrong on that point and if so please explain. I do know that all the GERN shares I own are held by those institutions yet I vote the shares directly. Given the intensity of all Geron followers, we that are investors are not likely invested in funds that we think might have an investment in Geron rather we own and control our GERN shares directly in our own retail accounts.
So would it not follow that given so much at stake here for the individual retail investor, we as a group will logically do what is right for each of us and if progress, developments, potential and value continue to increase, would not most of us vote against an unreasonably low BO. Certainly some would accept a low BO due to their situation, but wouldn't that logically be a small percentage of us? And while I don’t have any experience on how the institutions would handle their strictly institutionally owned shares, why would they opt for a low BO while staring at a significantly much better value proposition and vote to accept a low BO? Do they not want to achieve the best results for their business and clients?
