meanwhile, back on topic

Post by jayfish101 » Wed Feb 14, 2024 6:18 pm

Deep Track Capital is a Greenwich, Connecticut-based investment firm focused exclusively on the life sciences industry. We develop long term partnerships with management teams of leading innovative public and pre-IPO biotechnology companies. In addition to capital, we seek to invest our time and expertise, while leveraging our network for the benefit of our partners. We aim to lead transactions while building large syndicates, and also to invest in rounds led by other qualified investors.

FYI, these folks just declared they now own over 5% of the Geron shares, like Vanguard. I like the write up about them as a lot of stuff indicating takeover activity interest.

point out that this message is to off-topic, since this board is technically about Imetelstat and not Geron stock.

I’ll also go on to say that it is clear as day to see what is happening with the equity, which is a transfer from retail shareholders to institutions. Both by inside share offerings and public markets.
The equity appears to be in the later stages at this point, close to 75% institutional ownership now, manos pr menos.

It is amazing to me that the % trend continues to go up each month… in my Seinfeld voice, “ who are these people” that sell their shares at this point???
Yet there are, and the institutions are adding millions of ahares, as we see in these filings every d—n month.

over 55 million shares or 9.99 percent - going to 10 percent becomes ornerus from a SEC reporting perspective so basically they are maxed out

With all the investment firms and now the Geron employees buying stock /stock options redeemed, I am filled with optimism.

I saw the filings of employee options grants … early than prior years. Let’s hope (!) that this means the pps can finally make a move …. Waiting not patiently…

Jay I have only seen recent options awarded but not redeemed. I probably missed the ones that were redeemed can you remind us? Thanks, bp

Chief Scarlett bought 3 million shares on Valentine's Day. Has he ever done that before? I am encouraged.

Seedylemon, I think it might be worth trying to clarify your post. Dr. Scarlett along with other officers received option awards that can be exercised for a certain price anytime over the next ten years. That is not the same as buying shares outright or exercising options to guarantee a specific price for the shares he might buy in the future. As far as I can tell contrary to your post, he did not buy three million shares on Valentines Day. bp

Doesn't the form show that he exercised options to buy 3 million shares for the very first time?

These are option awards with a 2034 expiration date.

"Doesn't the form show that he exercised options to buy 3 million shares for the very first time?"
What I saw in the Form 4 was that the shares were acquired. To me that means they bought the shares. Does it say differently elsewhere in the Form 4's?

Jay, I could be wrong but the way I read it is that these are options to buy stock at 2.10 anytime over the next ten years were awarded as a from of incentive/compensation. They own the options to buy. If the stock goes up it’s a bargain, they can buy at 2.10 if it goes down the options are worthless but until they are exercised they sit there. They officers did not buy stock. If anyone wants to comment please do.

They are all options granted. No one "purchased" anything.

Box 5 reads

5. Number of
Derivative Securities
Acquired (A) or
Disposed of (D)
(Instr. 3, 4 and 5)

All Form 4's have box 5

Options granted have an exp. date in 2034

Acquired doesn't mean they put up $$$ for them....they are acquired.

You're reading this correctly Bp. -Kmall

Meanwhile, I see that, if there is a partial government shutdown on March 2nd, which will happen if the disfunctional Congress doesn’t pass either a continuing resolution or a budget…… the FDA is one of the agencies in that partial shutdown.

Wouldn’t that just be Geron’s luck, if the March Adcom has to be pushed back because the agency is not open.

"new emphasis on overall survival" I do like the sound of that!
This appeared today in article on approval of a new and I believe unique drug for solid tumors:

How Will FDA’s Pivot to Overall Survival Affect Cancer Drug Development?
The progression-free survival metric has helped shepherd many products across the regulatory finish line. Experts say the FDA’s new emphasis on overall survival will be felt especially by small biotechs.
