Re: Silicon Valley Bank
My above comment was related to Geron's outstanding loan facility with SVB. While it's technically possible that Geron could be forced to repay a portion of their outstanding loan balance (early) and/or not be able to access their remaining line of credit, the more likely scenario is that the loan w...

Re: Silicon Valley Bank
Non-secured investors of the bank itself will be wiped out, unfortunately. Probably a non-event for Geron as the FDIC will look for a suitor to take over the bank…..and existing portfolio of loans. This is how bank failures were managed in ‘08/‘09 timeframe. People and businesses who had existing li...

Re: Frontline MF + IMET 2.0 (Importance of IMproveMF)
Assuming Geron is able to provide sufficient detail & answers to the questions, I can't think of a good reason FDA won't give proper consideration to our request for marketing approval. I had been concerned about impacts of COVID and/or the transition of drug manufacture & distribution on our P3 cli...

Why Novartis?
My thoughts on why Novartis may be the best choice for our Ex-US licensee & collaboration partner: Obvious • Novartis is a deep-pocketed large pharmaceutical company with demonstrated commercial success in the hematology space. In 2022, Novartis booked $6.45B in sales associated with the hematology ...

Re: Ex-US License + Collaboration Agreement
At the moment, I believe we have sixteen (16) job postings in support of our commercialization plans & readiness. That certainly seems a positive with regards to management’s confidence in our forthcoming NDA submission & outcome. BTW, our job postings have all been US centric which seems to confirm...

Re: Ex-US License + Collaboration Agreement
BP et al, Geron has stated (multiple occasions) they will use a partner for their ex-US sales, and I certainly wouldn't expect them to simply grant those rights without significant compensation in return. As an example, Novartis paid $150M + $60M upfront for the ex-US rights to Ruxolitinib back in 2...

Ex-US License + Collaboration Agreement
The forthcoming Ex-US License Agreement will be more than a simple license agreement. It will be a Collaboration Agreement with multiple components. At a minimum, there should be three (3) separate components to the agreement: 1) Upfront cash payment 2) Ex-US rights license with sales royalty (%) 3)...

Re: Recent SEC filings
The new options would’ve had strike prices in the mid-3’s if not for each of the executives selling their options a couple weeks ago.

Frontline MF + IMET 2.0 (Importance of IMproveMF)
OVERVIEW The full value proposition associated with the IMproveMF Phase 1 trial isn’t being properly recognized by the investment community. IMproveMF is a Phase 1 trial designed to identify a safe dosage regimen for the combination of Imetelstat + Ruxolitinib in a frontline MF setting. The trial st...

Recent Observations + Future Topics
Recent Observations * Dr. Scarlett's comments during the B. Riley conference on 1/18 were quite positive, and he even mentioned the LR-MDS TopLine Results help to "De-Risk" the imetelstat story going forward. Not his exact words, but something close along those lines. * Dr. Scarlett's comments duri...

Re: Minor update tweaks to MF study
I'm not a statistics expert, but I'm still surprised they need so many patients (N=320) to demonstrate a benefit in an indication (R/R MF) with little-to-no other treatment options. We're up against BAT which is basically nothing in this indication. Very costly & time consuming to enroll that many p...

Re: The importance of having your ducks in a row
Good info and great point. Thanks for sharing. I’ve never seen much information on the manufacturing process and/or cost of the finished product. Any info on the manufacture costs would be useful for those trying to model future profitability and cash flows. It’s relatively easy to estimate product ...

Re: Another Securities Filing
Wow! RA Capital has taken a big stake and likely a MAX position in accordance with the terms of the warrants. A quick look at their website indicates they’re clearly long-term investors looking to generate & capture value. Further, it appears they’re no stranger to requesting & putting people on the...

BOD Questions & Suggestions
Per Huntington’s request, here are my comments/questions to the BOD. I’ll defer the communication of these points to BP. Suggestions: 1) Executive compensation should be tied to the stock price. More specifically, any/all executive bonuses & option awards should be a direct function of any stock pri...

Re: Hostile takeover (acquisition) via a tender offer
I've been thinking Novartis was the most probable partner. However, that's going to depend on the process being allowed to proceed in a normal manner (i.e. no hostile takeover). Perhaps Geron has (or will have) adopted an effective poison pill to thwart such an outcome?

Hostile takeover (acquisition) via a tender offer
We’ve reached the point where our management’s indifference (best case) and/or negligent mismanagement (worst case) of our publicly traded stock price is undermining the future of our company by: 1) Weakening our negotiating position with potential partners. 2) Exposing us to a hostile takeover (ten...

Re: Executive Incentives (NDA Submission & FDA Approval)
The biggest negative is likely the $0.20 - $0.30 per share that came off the stock price last week as they were selling the new shares (open market). As someone else previously mentioned, at least the issuance & selling of new "option" shares is over now.

Executive Incentives (NDA Submission & FDA Approval)
Within the same 2022 Proxy filing, you can see a number of unvested stock options that are dependent upon the achievement of specific milestones. The milestones are 1) the FDA's acceptance (for review) of an NDA for the first imetelstat indication, and 2) FDA regulatory approval of an NDA for the fi...

Stock Option Info & Thoughts
BP et al, Likely based on input from legal counsel, our executives (Scarlett, Bloom, and Grethlein) sold their “expiring” stock options in a predetermined manner. As you noted, the prescribed decisions were made in early January (as stated in each of their SEC filings). This type of prescribed selli...

Re: Upcoming Stock Option Expirations
Fair point. I'm probably too quick to assume my values & interpretations are shared by other investors....including the company executives. There's an old saying....."There are lots of valid reasons for insiders to sell stock in their company, but only one reason for them to buy & hold". Thus, to yo...
